1. Introduction

Welcome to KIGBA (“Company”, “we”, “our”, or “us”). By accessing or using https://kigba.com, our services, systems, content, or digital infrastructure, you agree to be bound by these Terms of Service. If you do not agree with these terms, please do not use our website or services.

2. Services

KIGBA provides premium creative and digital infrastructure services including:

• Web Design & Development
• AI Product Photography
• UGC Video Ads
• Video Editing
• Brand Content Packages
• Digital Consulting & Creative Direction

All services are subject to availability, studio capacity, and explicit project acceptance.

3. Intellectual Property & Ownership Transfer

Unless otherwise stated, all content, branding, systems, visuals, assets, graphics, layouts, and materials developed or displayed on this website are the intellectual property of KIGBA.

Conditional Transfer: Full intellectual property ownership, usage rights, and final file architectures transfer to the client only upon final invoice payment clearance in full.

Portfolio Rights: KIGBA retains the perpetual, non-exclusive right to showcase any delivered assets, project case studies, and visual outcomes across our public portfolio and social platforms for marketing and authority positioning, unless a formal Non-Disclosure Agreement is executed in writing before project kickoff.

4. Project Engagements

Submitting an inquiry form or initializing a chat session does not establish a contractual relationship. A project officially enters our production pipeline only after:

• Explicit scope confirmation
• Agreement or digital brief approval
• Initial payment or deposit arrangement is cleared

KIGBA reserves the right to decline any project at its discretion.

5. Payments & Invoices

Milestones & Deposits: Required upfront allocations or progress payments must be cleared before subsequent production phases begin.

Financial Delays: Final high-fidelity files, deployment credentials, and asset delivery may be withheld until all pending balances are settled. Late payments exceeding seven business days may result in project suspension or staging environment lockdown.

6. Revisions & Scope Precision

Standard project engagements include exactly two comprehensive rounds of revisions based on the parameters set in the original brief.

Excessive revisions, direction changes, or post-brief expansions outside the locked agreement will be billed as an additional block of studio hours.

7. Turnaround Times & Client Silence

Estimated delivery schedules are provided in good faith to maintain high velocity but are not strict legal guarantees.

If a project stalls due to missing client materials, delayed feedback, or lack of communication exceeding fourteen consecutive calendar days, KIGBA reserves the right to mark the project as fully delivered. The final balance will become due immediately, and any future production may require a mobilization fee.

8. Client Responsibilities & Indemnification

Clients assume full responsibility for securing proper rights, licenses, and clearances for all materials submitted to KIGBA including logos, reference images, audio, and specific product claims. KIGBA is indemnified against third-party copyright, trademark, or legal violations originating from client-provided assets.

9. AI-Assisted Workflows

We utilize creative AI technologies and digital simulation systems to engineer high-end visual pipelines. While KIGBA applies custom art direction, lighting modifications, and professional editing to all outputs, we do not guarantee absolute global exclusivity of underlying AI-generated elements unless explicitly stated in a custom contract.

10. Website Use

You agree not to attempt unauthorized system access, disrupt website functionality, deploy automated scraping tools, or misuse inquiry/communication systems. We reserve the right to restrict user access if anomalous or malicious activity is detected.

11. Third-Party Services

Our digital frameworks may integrate with third-party software layers including WordPress elements, hosting systems, tracking systems, and chat APIs. KIGBA is not liable for structural performance issues, system downtime, or platform updates caused by external vendors.

12. Limitation of Liability

To the fullest extent permitted by United Kingdom law, KIGBA shall not be held liable for indirect damages, loss of business profits, transaction leaks, platform outages, advertising account restrictions, or operational delays. Use of our assets and digital systems is at your own strategic risk.

13. Termination

We reserve the right to suspend active production or revoke asset licensing access if any element of these terms is violated by a client entity.

14. Changes to These Terms

We reserve the right to update these Terms of Service periodically to reflect operational changes. Continued interaction with our digital infrastructure constitutes acceptance of the revised terms.

15. Governing Law

These Terms and all active client engagements shall be governed by and construed in accordance with the laws of the United Kingdom, subject to the exclusive jurisdiction of the courts in Liverpool, UK.
